Terms and Conditions for Marič Design

These terms and conditions apply to all projects undertaken by Marič Design. By entering into a project agreement with Marič Design, you acknowledge and accept these terms unless otherwise agreed in writing.

 

 



1. Scope of Work

Marič Design is an independent design studio specializing in logo creation and identity systems. Unless explicitly agreed otherwise in writing, all services are limited to visual identity design.

 

 



2. Project Initiation & Pricing

After an initial consultation and discovery phase, including client discussions and internal research, Marič Design will provide a fixed project price based on the agreed scope of work. No design work will begin until both parties have signed a formal agreement.

Payment Terms:

  • Full payment is due upon signing the agreement.

  • An invoice will be issued electronically, with payment due within 14 days unless otherwise stated.

  • Work will commence only after payment has been received.

  • Late payments may incur penalties and collection fees.

  • If payment is not received within 60 days, Marič Design reserves the right to cancel the project.

  • If the client cancels the project more than 30 days after payment, no refund will be issued.

Invoices are issued electronically. Payment is due within 14 days unless otherwise agreed in writing. In the event of late payment, Marič Design may charge default interest in accordance with the Danish Interest Act (Renteloven) and claim reasonable reminder or collection fees.

 

 



3. Ownership & Intellectual Property

  • All creative materials remain the property of Marič Design until full payment is received.

  • Upon full payment, ownership of the final approved logo or identity system is transferred to the client for unlimited commercial use.

  • Unused sketches, drafts, and concepts remain the intellectual property of Marič Design and may be reused for other projects.

  • Clients may not use any unpaid work or designs in any form, digital or physical.



4. Fonts and Third-Party Assets

  • Fonts used in designs may require licensing. If Marič Design purchases a font license for the project, it will be transferred to the client upon project completion.

  • License costs are included in the project budget; the client is responsible for ensuring licenses remain valid.

  • Fonts in logos are typically converted to outlines and may not require a license unless used elsewhere in the brand.

Marič Design ensures that any third-party assets used, such as fonts, are appropriately licensed for commercial use. Licenses acquired during the project are either transferable to the client or provided with guidance for separate acquisition if required.

 

 



5. Revisions

  • The project fee includes a set number of revisions, specified in the agreement.

  • Additional revisions beyond the agreed scope may incur extra charges.



6. Portfolio Use

  • Unless otherwise agreed in writing, Marič Design reserves the right to showcase completed work (including logos and identity systems) in portfolios, websites, social media, and promotional materials.

  • Sensitive or confidential projects can be withheld from public display upon request, subject to a signed non-disclosure agreement (NDA).



7. Cancellation & Termination

  • Clients have a 14-day cancellation period from the date of signing, during which they can cancel for a full refund with no fees.

  • If the client cancels after 14 days but before project completion, up to 60% of the payment may be refunded, accounting for time and resources already committed.

  • If Marič Design cannot complete the project due to illness or unforeseen circumstances, a partial or full refund may be issued based on the work done to date.

  • Marič Design reserves the right to pause or terminate projects due to excessive interference, unreasonable demands, or loss of mutual trust.



8. Client Responsibilities

  • The client must provide clear and timely communication throughout the project.

  • Delays in feedback or approvals may affect the delivery timeline.

  • The client is responsible for verifying the legal availability of any brand or business names used.



9. Legal Compliance

  • Marič Design creates original work and strives to avoid conflicts with existing trademarks.

  • The client is ultimately responsible for ensuring the final design does not infringe on third-party rights.

  • Marič Design is not liable for legal disputes or damages resulting from the use of the final design after handover.



10. Limitation of Liability

  • Marič Design is not liable for any loss of profits, business interruption, or consequential damages related to the use or inability to use the delivered design.

  • Liability shall not exceed the total amount paid for the project.



11. Force Majeure

Marič Design is not responsible for delays or failure to perform caused by events beyond reasonable control, such as natural disasters, war, terrorism, government actions, internet outages, or illness.

 

 



12. Governing Law

All agreements and work provided by Marič Design are governed by Danish law. Any disputes will be resolved under Danish jurisdiction, specifically by the Danish court in Randers, Denmark, unless otherwise agreed in writing.

 

 



13. Support for Businesses and Organizations That Make a Difference

At Maric Design, I believe in giving back to the community. That’s why every 3–6 months, I select one business or organization that, in some way, helps others and contributes positively to the community. The selection is based on the level of engagement, the story behind the business, and how their work aligns with the values of Maric Design.

Businesses and organizations wishing to be considered must submit their information via a form well in advance of the selection process, briefly describing their mission and the work they do.

The selected recipient will receive:

  • A free logo design or brand refresh

  • A short case or spotlight feature published on Maric Design’s social media and website

  • Full usage rights to the created material

13.1. Right to Terminate Collaboration

Maric Design reserves the right to suspend or terminate the collaboration with the selected business or organization at any time, should it become evident that the business does not align with the values of Maric Design or demonstrates behavior that contradicts the purpose of the collaboration. In such cases, all rights to the created material will be revoked, and Maric Design may choose not to publish or to remove previously published content.

Participation in this selection process does not entail any obligations for either Maric Design or the participating business/organization, and Maric Design may, at its sole discretion, choose not to grant support without further explanation.
